These terms set out the legal agreement between you and HYDRO ROBOTICS LTD. They are not tailored legal advice. If you are a consumer or business customer, certain mandatory laws in your country may also apply. For subscription purchases, additional terms may be presented at checkout or in an order form and, if they conflict with a general clause, the checkout or order terms usually prevail for that transaction.
1. Who we are
These Terms of Service (“Terms”) are entered into between you and HYDRO ROBOTICS LTD(also referred to as “Hydro Robotics”, “we”, “us”, or “our”).

2. Services covered
These Terms apply to:
- our public marketing website and related content (the “Site”);
- the Hydro Robotics dashboard, APIs, and related cloud software we make available to you (the “Software”), including preview or demonstration environments we publish; and
- subscription plans we offer or will offer for access to the Software and related support or usage entitlements, as described at purchase.
Professional services, hardware supply, on-site work at the Green Codex facility, or other bespoke engagements may be governed by separate written agreements.
3. Eligibility and accounts
You must be at least the age of digital consent in your jurisdiction (typically 16 or 18) to create an account or subscribe. You are responsible for the accuracy of information you provide and for safeguarding authentication credentials. You must notify us promptly of any unauthorised use of your account.
4. Subscription plans, billing, and renewal
Where we offer paid subscription plans, the price, billing cycle (for example monthly or annual), included features, and any usage limits will be shown at checkout or in your order summary before you commit.
- Auto-renewal: paid subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date in accordance with the cancellation process we provide in-product or by email.
- Price changes: we may change fees for future renewal periods with reasonable advance notice (for example by email or in-product notice at least 30 days before the change takes effect, unless a shorter period is required or permitted by law). If you do not accept a price change, you may cancel before the new price applies.
- Taxes: stated prices may exclude VAT, GST, or other sales taxes where we add them at checkout as required by law.
- Payment: payments are processed by a third-party payment processor. You authorise us and the processor to charge your chosen payment method for all fees incurred.
- Trials: if we offer a free trial, we will describe when billing starts and how to cancel before charges apply.
5. Cancellation and refunds
You may cancel a subscription through the account or billing controls we provide, or by written notice to [email protected] where in-product cancellation is not available. Cancellation stops future renewals; it does not always refund fees already paid unless required by law or expressly stated in your offer.
If you are a consumer in the EEA or UK, you may have a statutory right to withdraw from distance contracts within 14 days under consumer protection law, subject to exceptions for digital content supplied with your prior express consent and acknowledgement that you lose the withdrawal right once supply begins. Where applicable, we will provide the pre-contract information and model instructions required by law at checkout.
6. Cookies and privacy
Use of the Site and Software is also governed by our Privacy Policy, which explains how we use cookies and process personal data, including hosting in Ireland (public website) and Frankfurt, Germany (dashboard and related databases) on DigitalOcean infrastructure.
7. Acceptable use
You agree not to:
- violate applicable law or third-party rights;
- probe, scan, or test the vulnerability of our systems, or bypass authentication or security measures;
- misuse the Software to transmit malware, spam, or unlawful content, or to operate unsafe industrial processes outside validated parameters;
- reverse engineer our Software except to the extent mandatory law permits decompilation for interoperability.
We may suspend or terminate access for material breach, risk to security, or abuse.
8. Intellectual property
We and our licensors own all rights, title, and interest in the Site, Software, documentation, trademarks, and the “Green Codex” production framework and related know-how. Subject to your compliance with these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable right to use the Software during your subscription for your internal business purposes, unless a separate licence states otherwise.
You retain rights in your own data and configurations. You grant us a limited licence to host, process, and display your data solely to provide the services and as described in the Privacy Policy.
9. Third-party services and infrastructure
Public marketing website and related static assets are hosted in the Republic of Ireland on infrastructure operated by DigitalOcean, LLC (DigitalOcean).
The Hydro Robotics dashboard application, application databases, and related production data processing for subscribed customers are hosted in Frankfurt am Main, Germany (European Economic Area), on infrastructure operated by DigitalOcean.
Your use may also be subject to acceptable use or service terms published by subprocessors where they interact directly with you (for example single sign-on providers). We are not responsible for third-party services you choose to integrate outside our documented interfaces.
10. AI, industrial automation, and liability
Our systems may include machine learning or rules-based assistance. Outputs are aids only. You remain responsible for operational decisions, compliance with regulations applicable to your facility, and verification of critical readings.
To the maximum extent permitted by applicable law, we exclude liability for indirect, consequential, or special losses, and for loss of profit, revenue, crops, or goodwill, except where such exclusion is not lawful. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be limited under mandatory law.
Our aggregate liability arising out of or relating to each twelve-month period of a paid subscription is generally limited to the fees you paid to us for that Software in that period, except where prohibited by law. For free access, demo, or evaluation use, the Software is provided “as is” without warranties to the extent permitted by law.
11. Warranties
Except as expressly stated in a written order or SLA for paying customers, we disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
12. Changes to the Terms
We may update these Terms. We will post the revised version on this page and update the “Last updated” date. For subscribers, material adverse changes will be notified with reasonable advance notice where required by law. Continued use after the effective date may constitute acceptance; if you do not agree, you must stop using the services and cancel subscriptions in line with Section 5.
13. Governing law and disputes
These Terms are governed by the laws of England and Wales, subject to mandatory consumer protections in the country where you habitually reside if you qualify as a consumer under EU/EEA or UK rules.
The courts of England and Wales have non-exclusive jurisdiction unless mandatory law grants you the right to bring proceedings in your home country.
14. General
If any provision is held invalid, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or sale of assets.
